By using our services, including but not limited to coaching sessions, website content, and any related materials, you signify your acceptance of these Terms of Use. If you do not agree to these Terms, please do not use our services.

Excel Lingo provides personalized coaching services in Business English, Conversational English, and Conversational Korean, aimed at improving your written and verbal communication skills. Our services may include one-on-one sessions, packaged sessions, and access to learning materials.

You agree to use our services in a respectful and lawful manner. You are solely responsible for your conduct while participating in coaching sessions and interacting with our website. You agree not to:

• Engage in any behavior that is unlawful, harassing, abusive, or discriminatory.

• Infringe upon our intellectual property rights or the rights of others.

• Attempt to gain unauthorized access to our systems or other users' information.

• Disrupt or interfere with the operation of our website or services.

Details regarding the cost of individual sessions and packaged offerings are available on our "Book a Session" and "Members Booking Page" pages. Payment is required in advance of your scheduled session or package. We accept major credit cards, Apple Pay, Google Pay, PayPal, and Venmo as payment methods. By purchasing our services, you agree to pay the applicable fees as described on our website.

Our policy regarding cancellations and rescheduling of coaching sessions is outlined in our separate Cancellation and Rescheduling Policy, which is available on our website. Please refer to that policy for detailed information.

Our policy regarding attendance and what happens in the event of lateness for scheduled coaching sessions is detailed in our separate Late Policy, which is available on our website on the FAQ page. By booking and attending sessions, you agree to adhere to the terms outlined in our Late Policy.

All content provided by Excel Lingo, including but not limited to text, graphics, logos, images, audio, and video materials, is owned by or licensed to us and is protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use this content solely for your personal, non-commercial use as part of our services. You may not reproduce, distribute, modify, or create derivative works of our content without our prior written consent.

Our services are provided on an "as is" and "as available" basis without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that our services will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by applicable law, Excel Lingo shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, damages for loss of profits, data, use, goodwill, or other intangible losses) arising out of or relating to your use of our services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to us for the services in the twelve (12) months preceding the event giving rise to the liability.   

You agree to indemnify, defend, and hold harmless Excel Lingo and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms or your use of our services.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or our services shall be resolved exclusively through binding arbitration in Texas, in accordance with the rules of the American Arbitration Association (or a similar recognized arbitration organization). The language of the arbitration shall be English.

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and without prior notice. You may also terminate your use of our services at any time. Upon termination, your right to use our services will immediately cease.

We may update these Terms of Use from time to time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of our services after the posting of the revised Terms constitutes your acceptance of the changes.
